Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Business" or "you") and CityMapia ("we", "our", "us"), the operator of StoreTalk ("the Service"). By creating an account or using the Service, you agree to these Terms in full.
If you are using StoreTalk on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
StoreTalk is a SaaS platform that enables businesses to automate customer communication via the WhatsApp Business API, including sending message templates, building chatbot flows, and managing a shared inbox. The Service operates using Meta's Cloud API and requires you to connect your own WhatsApp Business Account (WABA).
3. Account Registration
- You must provide accurate and complete information when registering
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorised access to your account
- One account per business entity. Sub-accounts for agents are provided within your plan
- You must be at least 18 years old and legally authorised to operate a business in India
4. Acceptable Use Policy
You agree to use StoreTalk only for lawful business communication. You must not use the Service to:
- Send spam, unsolicited bulk messages, or messages to customers who have not consented to receive them
- Send content that violates Meta's WhatsApp Business Policy or Commerce Policy
- Send messages promoting illegal products, gambling, adult content, or regulated financial instruments without proper authorisation
- Impersonate another business, brand, or individual
- Harvest or scrape customer phone numbers from third-party sources without consent
- Attempt to reverse-engineer, decompile, or tamper with the platform
- Use the Service in any manner that could damage, disable, or impair our infrastructure
Important: Violations of Meta's messaging policies may result in your WhatsApp Business Account being restricted or banned by Meta. StoreTalk is not responsible for actions taken by Meta against your account due to your messaging practices.
5. Subscription and Billing
5.1 Plans and Pricing
StoreTalk offers monthly subscription plans as listed on our Pricing page. Prices are in Indian Rupees (INR) and inclusive of applicable GST. We reserve the right to change pricing with 30 days' notice to existing subscribers.
5.2 Free Trial
New accounts receive a 14-day free trial. No credit card is required to start the trial. At the end of the trial, your account will be automatically downgraded to a limited free tier unless you subscribe to a paid plan.
5.3 Overage Billing
Conversations exceeding your plan's included quota will be billed at the overage rates listed on the Pricing page. Overage charges are invoiced at the end of each billing cycle.
5.4 Annual Billing
Annual plans are billed upfront and include 2 months free (equivalent to approximately 16.7% discount). Annual subscriptions are non-transferable.
5.5 Refunds
Monthly subscriptions are non-refundable. For annual subscriptions, a pro-rated refund may be requested within 30 days of the annual payment date. After 30 days, no refunds will be issued for annual plans. Overage charges are non-refundable.
6. Account Suspension and Termination
We reserve the right to suspend or terminate your account, with or without notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your messaging practices result in high opt-out or spam complaint rates
- Your WhatsApp Business Account is flagged or restricted by Meta
- Payment for a subscription is not received within 7 days of the due date
- We determine, in our sole discretion, that continued service poses a legal or reputational risk
You may terminate your account at any time from the account settings. Termination does not entitle you to a refund except as described in Section 5.5.
7. WhatsApp and Meta Compliance
StoreTalk operates as a Meta Tech Provider using Meta's WhatsApp Business Cloud API. By using our Service, you agree to comply with:
- Meta's WhatsApp Business Policy
- Meta's Commerce Policy
- All applicable laws and regulations governing business messaging in India
You are solely responsible for the content of messages sent through StoreTalk and for obtaining proper consent from message recipients.
8. Intellectual Property
StoreTalk and all related software, design, and content are the intellectual property of CityMapia. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the term of your subscription.
Message templates and flow configurations you create remain your intellectual property.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CityMapia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption arising from your use of StoreTalk.
Our total aggregate liability for any claim arising out of or related to the Service shall not exceed the amount paid by you to us in the 3 months preceding the claim.
We are not liable for actions taken by Meta (including WABA suspension or restrictions) due to your messaging practices.
10. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
